Terms and Conditions
1. Scope and Contracting Party
These Terms and Conditions govern the use of the Software-as-a-Service (SaaS) platform Coach OS, including the mobile applications Coach OS (for coaches) and Player OS (for players), hereinafter collectively referred to as 'Services'.

2. Service Description
TRAX SPORTS GmbH offers a digital platform for training planning, player management and performance analysis in football. The Services include:
Coach OS (Coach Application)
An application for coaches and clubs for professional training planning and team management with the following functions:
- AI-powered training planning and periodization
- Exercise database with hundreds of scientifically based exercises
- Player rating and performance tracking
- Team and player statistics
- Communication with players and co-coaches
Player OS (Player Application)
An application for players to track their personal development with the following functions:
- Personal scorecards and development statistics
- Confirm/cancel function for training and matches
- View training plans and upcoming events
Club OS (Club License)
Extended features for clubs with multiple teams, including central management, pitch coordination and club statistics.
3. Contract Formation and Registration
The contract is concluded through registration and creation of a user account. By registering, the user makes a binding offer to conclude a user agreement. TRAX SPORTS GmbH accepts this offer by activating the user account.
Registration requires the following information: name, email address and password. For registration of minors (under 16 years), consent of legal guardians is required.
The user assures that all information provided is truthful and complete. In case of changes, the user is obliged to update their data immediately.
4. Use by Minors
The use of Player OS by minors under 16 years requires the express consent of legal guardians. Legal guardians are responsible for all actions of the minor.
Coaches and clubs inviting minors to use the service assure that they have the required consent of legal guardians.
TRAX SPORTS GmbH processes personal data of minors exclusively within the scope of the given consents and in compliance with the special protection provisions of the GDPR.
Important Notice for Legal Guardians:
By consenting to your child's use of Player OS, you agree that your child's athletic performance data and training information will be collected and processed. You have the right to revoke your consent at any time.
5. Prices and Payment Terms
Current prices for the various licenses (Coach OS, Club OS) can be found on the website www.coach-os.app. All prices are gross prices including applicable VAT.
Services can be subscribed either as monthly or annual subscriptions. Billing occurs in advance for the respective period. For monthly payments, billing is monthly; for annual payments, once for the entire year.
Payment is processed through the following payment service providers depending on the platform: When booking via website: Stripe or SEPA direct debit. When booking via iOS app: Apple App Store. When booking via Android app: Google Play Store. Prices may vary between different platforms as Apple and Google charge their own fees which must be reflected in the final price.
Player OS is free for players if they are invited by a paying coach or club.
TRAX SPORTS GmbH reserves the right to adjust prices, particularly in case of VAT changes, increased operating costs, inflation, or to adapt to market conditions. Price adjustments will be communicated to users at least 6 weeks before taking effect by email. Users have the right to terminate extraordinarily within 4 weeks of notification at the time the price increase takes effect if the increase exceeds 5%. For price increases up to 5% or price adjustments due to statutory VAT increases, there is no extraordinary right of termination.
In case of payment arrears exceeding 14 days, TRAX SPORTS GmbH reserves the right to suspend access to the Services. The user remains obligated to pay.
6. Contract Duration and Termination
The contract is concluded for an indefinite period. The minimum contract period for Coach OS is one month.
Both parties can terminate the contract with one month's notice to the end of the month. Termination must be in text form (e.g. by email to partnerships@coach-os.com).
The right to extraordinary termination for good cause remains unaffected. Good cause exists in particular in case of serious violations of these Terms and Conditions, payment arrears of more than two months, or misuse of the Services.
7. Usage Rights and Copyright
TRAX SPORTS GmbH grants the user a non-exclusive, non-transferable right to use the Services for the duration of the contractual relationship. This right of use is strictly limited to the intended use within the application.
All content of the platform, including texts, graphics, training exercises, exercise descriptions, exercise database, videos, algorithms, AI models, periodization templates and software, is protected by copyright and represents valuable intellectual property of TRAX SPORTS GmbH. Reproduction, editing, distribution, exploitation or extraction outside the contractually agreed use is strictly prohibited.
Systematic reading, extracting, copying, scraping or other retrieval of training content, exercises, exercise descriptions, data structures or other information from the Services is expressly prohibited. This applies to both manual and automated reading by means of bots, scripts or other technical aids.
In case of violation of the extraction prohibition, TRAX SPORTS GmbH reserves the right to: Immediate suspension of the user account without refund of payments already made. Assertion of claims for damages in the amount of at least EUR 10,000 per detected violation, plus further provable damages. Prosecution of criminal claims for infringement of copyrights and trade secrets pursuant to §§ 106 et seq. UrhG and § 17 UWG. The user is liable for all damages arising from unauthorized extraction or disclosure.
Content created by the user themselves (e.g. individual notes, player comments) remains the property of the user. However, the user grants TRAX SPORTS GmbH a simple right of use insofar as this is necessary for the provision of the Services.
TRAX SPORTS GmbH reserves all rights not expressly granted.
8. Data Protection and Data Processing
The processing of personal data is carried out exclusively within the framework of applicable data protection laws, in particular the GDPR. Details are regulated in the privacy policy at www.coach-os.app/datenschutz.
Data entered by the user (player data, training data, performance statistics) remains the property of the user. TRAX SPORTS GmbH uses this data exclusively for the provision of the Services.
After termination of the contractual relationship, personal data will be deleted unless there are statutory retention obligations. Users can request deletion of their data at any time.
9. User Obligations and Responsibility
The user undertakes to use the Services only within the scope of legal provisions and these Terms and Conditions. In particular, the following is prohibited:
- Distribution of illegal, harmful to minors, insulting or defamatory content
- Attempt of unauthorized access to other accounts or system resources
- Use of bots, scripts or other automated methods without consent
- Commercial use of the Services without appropriate license
- Impairment of the functionality of the Services
The user is responsible for the security of their access data and must protect it from third-party access. In case of suspected unauthorized access, TRAX SPORTS GmbH must be informed immediately.
10. Availability and Warranty
TRAX SPORTS GmbH strives for high availability of the Services, but does not guarantee uninterrupted availability. Maintenance work will be carried out outside peak usage times whenever possible.
TRAX SPORTS GmbH warrants that the Services have the contractually agreed characteristics and are free from legal defects. In case of defects, the user is first entitled to subsequent performance.
The warranty period is 12 months from contract conclusion. For business users, statutory warranty periods apply.
11. Liability
TRAX SPORTS GmbH is liable without limitation for damages resulting from injury to life, body or health, as well as for damages based on intent or gross negligence.
In case of slight negligent breach of essential contractual obligations, liability is limited to the contract-typical, foreseeable damage. Essential contractual obligations are those whose fulfillment enables the proper execution of the contract in the first place.
Liability under the Product Liability Act remains unaffected. Otherwise, liability is excluded.
12. Changes to the Terms and Conditions
TRAX SPORTS GmbH reserves the right to change these Terms and Conditions with effect for the future, insofar as this is necessary to adapt to changed legal situations or case law or to close regulatory gaps.
Changes will be communicated to users at least 4 weeks before taking effect by email. If the user does not object within 4 weeks of receipt of the notification, the changed Terms and Conditions are deemed accepted.
In case of objection, TRAX SPORTS GmbH has the right to terminate the contractual relationship at the time the changes take effect.
13. Right of Withdrawal for Consumers
Consumers have a statutory right of withdrawal pursuant to Section 355 German Civil Code (BGB) for contracts for the provision of services. You have the right to withdraw from this contract within fourteen days without giving any reason.
The withdrawal period is fourteen days from the date of conclusion of the contract. To exercise your right of withdrawal, you must inform us (TRAX SPORTS GmbH, address see imprint, email: partnerships@coach-os.com) by means of a clear statement (e.g. a letter sent by post or email) of your decision to withdraw from this contract.
In the event of an effective withdrawal, the services received by both parties must be returned. You are obliged to pay compensation for the value of the service provided up to the time of withdrawal if you were informed of this legal consequence before submitting your contractual declaration and expressly agreed that we should begin with the execution of the consideration before the end of the withdrawal period.
Early expiry of the right of withdrawal: The right of withdrawal expires prematurely in the case of a contract for the provision of services if we have fully provided the service and only began to execute the service after you gave your express consent and at the same time confirmed your knowledge that you lose your right of withdrawal upon complete performance of the contract by us.
By registering and immediately accessing the Services, you expressly declare that we should begin providing the service before the expiry of the withdrawal period and acknowledge that you thereby lose your right of withdrawal as soon as we have fully provided the service.
14. Online Dispute Resolution
The European Commission provides a platform for online dispute resolution (ODR), which you can find at https://ec.europa.eu/consumers/odr/.
TRAX SPORTS GmbH is neither obliged nor willing to participate in a dispute resolution procedure before a consumer arbitration board.
15. Final Provisions
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law only applies insofar as it does not restrict any mandatory statutory provisions of the state in which they have their habitual residence.
If the user is a merchant, legal entity under public law or special fund under public law, the exclusive place of jurisdiction for all disputes is Hamburg.
Should individual provisions of these Terms and Conditions be or become invalid, this does not affect the validity of the remaining provisions. The invalid provision is replaced by a valid provision that comes closest to the economic purpose of the invalid provision.
